Terms of Service

These terms govern use of EliCheck (“we”, “us”). They are an agreement between us and the practice that opens an account (“you”). They are not an agreement with any patient.
1. What the service is
EliCheck requests insurance eligibility information from payers on your behalf, presents what the payer returns, manages your appointment schedule, and sends appointment reminders you have configured.
2. What the service is not
EliCheck reports what the payer says. It does not decide coverage and it does not guarantee payment. A response indicating active coverage is not an assurance that a claim will be paid, and an estimate of patient responsibility is an estimate. You remain responsible for your own verification, for your billing decisions, and for all clinical judgement. We are not a party to the relationship between you, your patient and their payer.
3. Your account
- You are responsible for who you give access to, for keeping sign-in credentials secure, and for what your users do in the account.
- Accounts are for your practice. Do not share them across organisations.
- Tell us promptly if you believe an account has been compromised.
4. Patient information and consent
You are responsible for the patient information you put into EliCheck — that you are entitled to hold it, and that you have whatever consent or authorisation the law requires for us to process it on your behalf.
Before you switch on reminders, you are responsible for having the patient's consent to be contacted about their appointments, at the address or number you have on file, and for keeping that consent current. EliCheck records consent and honours a patient's withdrawal of it, but the obligation to obtain it is yours.
Where HIPAA applies, we act as your business associate under a separate business associate agreement, which governs protected health information and prevails over these terms to the extent of any conflict.
5. Acceptable use
Do not use EliCheck to send marketing or solicitation messages of any kind, to contact people who are not your patients, to upload lists you did not obtain directly from your own patients, or to attempt to reach another practice's data. Do not attempt to disrupt, probe or reverse engineer the service.
We may suspend an account that is causing harm to patients, to other practices, or to the deliverability of the service. Where we can, we will tell you first.
6. Fees
Subscription fees are charged in advance and usage above the plan's included amount is charged in arrears, as described on your Billing page. If you cancel part-way through a paid period, we refund the unused portion of the subscription fee pro rata from the date of cancellation; usage you have already incurred is not refunded. We will give 30 days' notice before changing prices.
7. Availability
We aim to keep EliCheck available, and it depends on services we do not control — payers, the clearinghouse, and our hosting provider. We do not commit to a specific uptime level under these terms. Where we offer a service level agreement, it is a separate document and applies in addition to these terms.
8. Your data
Your data remains yours. You can export it while your account is active, and you can ask us to delete it when you leave, subject to records we are required to retain. How we handle it is set out in the Privacy Policy.
9. Disclaimers and limits
Except as stated in these terms, the service is provided as is, without warranties of any kind, express or implied.
Our total liability arising out of or relating to this agreement is limited to the fees you paid us in the twelve months before the event that gave rise to the claim. Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits.
These limits do not apply to your obligation to pay fees due, to either party's fraud, gross negligence or wilful misconduct, or to anything the law does not permit us to limit.
10. Ending the agreement
You may close your account at any time. Either of us may end this agreement for a material breach that is not corrected within 30 days of written notice of it. On termination you stop having access to the service, and we handle your data as described above.
11. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts sitting in New Jersey have exclusive jurisdiction over any dispute arising out of them, and both parties consent to venue there.
12. Changes
We may update these terms. If a change materially affects you we will tell you before it takes effect, and continuing to use the service after that date means you accept the change.
